Terms of Service
Effective October 18, 2026. Last updated October 18, 2026.
This is the agreement between your business and ours. We wrote it to be read rather than skimmed past, but it is still the agreement, and the parts about who carries which risk are deliberately blunt.
The short version
- One plan, every feature, billed monthly or yearly by card. No per-person charges.
- Card details live with a payment processor, never with us.
- Cancel whenever you like. Export your books whenever you like: it’s a button, not a request.
- sjLedger is a tool for keeping books, not an accountant. Nothing it shows you is tax, legal or financial advice. Have a professional check what matters.
- We are not liable for anything, including lost, corrupted or wrong data. Keep your own copies.
- We can suspend or close an account at any time, for any reason or none.
- Indiana law, Porter County courts.
- This box is a convenience. The numbered sections are the agreement.
1. Who this is between
sjLedger is a product of Sally Jo LLC, an Indiana limited liability company (“Sally Jo”, “we”, “us”). These terms cover sjledger.com, sallyjoledger.com, sjledger.io, sallyjoledger.io, the application behind them, and anything else we give you access to as part of it.
By opening an account, signing in, trying the demo, or using sjLedger in any way, you agree to these terms. If you are doing that for a business, you are telling us you have the authority to bind it, and “you” means that business. If you do not agree, do not use sjLedger.
sjLedger is for business use: keeping the books of a business, or of a professional who keeps books for businesses. It is not offered for personal, family or household purposes. You must be at least 18 to hold an account.
2. Your account and your people
Give us accurate information and keep it current. Keep your credentials to yourself. Everything done under your account is your responsibility, whether or not you meant it to happen.
A business and its people. Each business in sjLedger is its own set of books. Whoever owns a business in sjLedger is responsible for everyone they let into it: admins, regular users, and any accountant or bookkeeper they invite. What those people do counts as what you did. Removing someone when they leave is your job, and we’d rather you did it the same day.
Accountants and bookkeepers. An accountant you invite can see and change your books, the same as you can, unless you limit them. They are your choice and your responsibility, not ours. An accountant who uses sjLedger for several clients agrees to these terms for their own account. For each client, they also agree that they act with that client’s permission.
Two-factor sign-in is required for every account, because these are financial records. You can use an authenticator app, a passkey, or texted codes. We are not responsible for anything that reaches your account through credentials you or one of your people let out.
Email that comes with the account. While you have an account, we send the email needed to run it: sign-in and security, billing, notices about your books (a bank connection that needs attention, an export that’s ready, an account closing), and changes to these terms. You can’t switch these off while the account exists. Closing the account ends them. Product news has a one-click unsubscribe.
Text messages. Texts are optional, except where you choose them as your second sign-in step. If you give us a mobile number and agree to texts, we send sign-in codes, security alerts and system notices. Message and data rates may apply. Reply STOP to any text to stop them, or turn texts off in your profile. Reply HELP for help. Agreeing to texts is not required to use sjLedger. Carriers are not liable for delayed or undelivered messages.
Support access. To help you, our staff may sometimes need to see your books as you see them. That access is limited, shown to you, and recorded, as the Privacy Policy describes.
3. What you may not do
Using sjLedger, you agree not to:
- break the law, or use sjLedger for anything illegal, fraudulent or deceptive. That includes false books, records meant to mislead a lender, investor, buyer or tax authority, and money laundering;
- connect a bank account you are not authorized to connect, or record transactions for a business you have no right to act for;
- store, send or share content you do not have the right to;
- upload malicious code, or probe, overload, disrupt, or try to get around any part of our security;
- try to reach another customer’s books, data or files;
- resell, rent or white-label access, or use sjLedger to build or run a competing product (accountants keeping books for their own clients is fine, and is what accountant access is for);
- use sjLedger to harass, threaten or harm anyone;
- put in data that carries legal obligations we haven’t agreed to in writing: full card numbers, health records, or government identity numbers beyond what a field in sjLedger asks for.
If we believe any of the above is happening, we may remove content, restrict a business, or suspend an account. We don’t have to investigate or ask first.
4. Your books, and our software
Your books stay yours. The accounts, customers, vendors, invoices, bills, transactions, receipts, attachments and reports you put into sjLedger, or bring in from a bank or another product, belong to you. We claim no ownership of them.
To run the service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, back up, process, index and display that content, including through the vendors and partners who help us provide the service. The license exists only so the product can work. It lasts while your content is on the platform. It ends when the content is deleted, except where we have to keep something by law.
Our software stays ours. sjLedger itself (the software, the design, the interface, the name and the marks) belongs to Sally Jo LLC. Nothing here transfers any of it to you.
If you send us an idea or suggestion, we may use it with no obligation to you.
5. What it costs
sjLedger is one plan with every feature included, billed monthly or yearly at the price on the pricing page. There is no charge per user. A set number of live bank connections is included. Extra connections are billed at the rate on the pricing page.
Card payments are handled by a payment processor, not by us. You enter your card on the processor’s own page. We never see or store the card number. You manage the card, and cancel, from the Billing page. Paying by card also means agreeing to the processor’s terms for the payment.
Renewal. Your plan renews, monthly or yearly as you chose, until you cancel. Cancel whenever you like: the plan runs to the end of the period you have paid for and does not renew. If a payment fails, the processor retries it and the Billing page says so. If it can’t be collected, the plan ends as if you had cancelled.
We set the price, and we can change it. We may change the price, the number of included bank connections, or the rate for extra ones at any time. If we raise the price of the plan you are on, we will tell you before it takes effect, and it won’t apply until your next renewal, so you can cancel first if you’d rather.
Fees are non-refundable, including for time you didn’t use, downtime, a suspension, a termination, or a change of mind. Past-due amounts may lead to suspension without notice, may accrue interest at the lower of 1.5% a month or the maximum the law allows, and you cover what it costs us to collect them.
Trial and demo. The demo company is fictional sample data, open to anyone, and is deleted automatically, usually within 48 hours. Don’t put real information in it. Any free trial period is described on the pricing page. When it ends, the business needs a paid plan to keep being changed, but it can still be exported.
6. As is, as available
sjLedger is provided “as is” and “as available”. To the maximum extent the law allows, we make no warranties of any kind, express or implied. That includes any implied warranty of merchantability, fitness for a particular purpose, title, accuracy, quiet enjoyment or non-infringement.
We don’t promise that sjLedger will be available, uninterrupted, timely, secure or free of errors, or that any defect will be fixed. Reports, balances, totals, aging schedules, suggested matches, categorizations, loan schedules, mileage rates, imported data and anything else sjLedger calculates or shows may be wrong, incomplete or late. We may add, change, limit, suspend or remove any feature at any time.
sjLedger is not your accountant. It does not give tax, legal, accounting, investment or financial advice, and nothing it shows you is advice. It doesn’t file taxes, and it doesn’t guarantee that your books are correct, complete, or acceptable to a tax authority, lender, auditor or buyer. The suggestions it makes (a match for a deposit, a category for an expense, a split of a loan payment) are suggestions: a person in your business decides what is posted. Checking that your books are right, and getting professional advice where it matters, is your responsibility.
6a. Bank and card connections
You can connect bank and credit-card accounts so their transactions come into sjLedger. Those connections are made through bank-data providers (currently Plaid and Teller). When you connect an account, you are also dealing with that provider, and its own terms and privacy policy apply to what it does. The connection is read-only. sjLedger reads balances and transactions, and it cannot move money out of your bank account.
Connections break: a bank changes its systems, a password changes, consent expires. Transactions may arrive late, twice, or not at all. Nothing from a bank feed is posted to your books until a person approves it. Checking the feed against your bank statement (reconciling) is your job. We are not responsible for anything a bank or a bank-data provider does or fails to do.
6b. Getting paid through sjLedger
If you choose to let your customers pay your invoices by card or bank transfer, those payments run through your own account with our payment processor. It is your account, not ours, and it is under the processor’s own terms. The processor’s fees are between you and it. We take no fee on those payments. We are not a party to them, and we are not responsible for any payment, refund, dispute or chargeback between you and your customers.
7. Your data and backups
This is the section worth reading twice.
We take backups, they’re encrypted, and we test that they restore. We guarantee none of it, and you should not build a plan on it. We have no obligation to store, retain, back up or recover any of your data.
We may delete any of your data, whether content, a business or an account, at any time, for any reason or none, without notice, and with no liability to you or anyone else. Every retention period or deletion schedule described in these terms, the Privacy Policy, this site or the product is our general practice, not an obligation. We may change it or depart from it at any time.
We are not liable for lost, corrupted or inaccurate data of any kind. That covers data lost, deleted, corrupted, exposed, or that can’t be recovered, whether through us, a provider we rely on, a bank or bank-data provider, an import from another product, an attacker, or nobody in particular. It also covers figures, balances or reports that are wrong for any reason. All of that is your risk, and we have no liability for it of any kind.
Keeping your own copy of anything you can’t afford to lose, including the records tax law requires you to keep, is your job, not ours. Any owner or admin can export the whole business at any time, as files that other software can read. Export often, and export before you leave.
8. No liability
To the maximum extent the law allows, Sally Jo LLC, its owners, employees, contractors and suppliers are not liable to you or to anyone else for damages of any kind arising out of or relating to sjLedger. That covers direct, indirect, incidental, special, consequential, exemplary and punitive damages, and includes, without limiting any of it:
- data that is lost, deleted, corrupted, inaccurate, exposed, or can’t be recovered;
- wrong, incomplete or late balances, reports, suggestions, imports or bank-feed transactions;
- taxes, penalties, interest, fees, or the cost of correcting returns or books;
- a lender, investor, buyer, auditor or tax authority relying on, or rejecting, anything produced with sjLedger;
- downtime, outages, slowness, or a feature that stops working or goes away;
- an invoice or reminder that was wrong, late, repeated or never sent, and any payment that was or wasn’t collected;
- anything one of your people, your accountant, or your own customers did;
- lost profits, revenue, business, goodwill or opportunity, or wasted time;
- a suspension or termination of your account, and everything that followed from it.
This applies even if we were told the damage was possible, and even if a remedy in these terms fails of its essential purpose.
Where the law won’t allow an exclusion that broad, our total liability for all claims together, however they arise, will not exceed the greater of (a) what you actually paid us for sjLedger in the three months before the event that led to the claim, or (b) US $0.
You use sjLedger entirely at your own risk. These limits are part of how the price works: we wouldn’t offer sjLedger without them, and what you pay reflects that allocation of risk. Where a law doesn’t allow some of these exclusions, our liability is limited as far as that law allows and no further.
9. Claims that come from your use
You will defend, indemnify and hold harmless Sally Jo LLC, its owners, employees and suppliers against any claim, demand, loss, damage, penalty or expense, including reasonable legal fees, arising out of: your use of sjLedger; your books and what anyone did in reliance on them; the people you let into your business; the bank accounts you connect; the payments you collect; or your breach of these terms.
If there’s a dispute between us over any of that, you also cover our costs of enforcing these terms and of recovering what is owed, including legal fees, court costs and collection costs. This survives the end of your account.
10. Suspension and termination
We may suspend or terminate your account, any business in it, or any part of your access at any time, for any reason or no reason, with or without notice, at our sole discretion. We don’t have to explain it. We have no liability to you or anyone else for it, or for anything that follows from it, including loss of access to your data.
You can leave whenever you like. Cancel from the Billing page. It’s a button, not a maze. Fees already paid or owed are not refunded.
After a subscription lapses or is cancelled, we generally keep the business’s books, read-only and exportable, for 12 months, and email you twice before we delete them. You can ask us to delete them sooner. We keep the billing records we need to answer for what was charged, and anything the law requires us to keep. As section 7 says, these periods are practice, not promise: we may delete data at any time. Take your export before you go.
11. Changes
We may change sjLedger, and we may change these terms. When the terms change, we update the date at the top. If a change matters, we’ll ask you to accept the new version the next time you sign in.
Continuing to use sjLedger after a change takes effect means you accept it. If you don’t, stop using sjLedger, export your books, and close your account.
12. Governing law and disputes
These terms are governed by the laws of the State of Indiana and the federal law of the United States, without regard to conflict-of-laws rules.
Any dispute, claim or proceeding arising out of or relating to these terms or to sjLedger belongs exclusively in the state or federal courts sitting in Porter County, Indiana. You consent to the personal jurisdiction of those courts and waive any objection to that venue.
Any claim must be brought within one year of when it arose, or it is waived. Claims are brought individually: no class actions, and no consolidated or representative proceedings.
13. The rest of it
If part of these terms turns out to be unenforceable, that part is narrowed to what is enforceable and the rest still stands. If we don’t enforce something straight away, we haven’t given it up.
You may not transfer these terms without our written consent. We may transfer them along with the business.
These terms, together with any written agreement we have signed with you, are the whole agreement between us, and they replace anything said beforehand. The sections on content and ownership, fees owed, warranties, data, liability, indemnity, governing law, and this one survive the end of your account.
